Welcome to Edisyn. These Terms of Service ("Terms") govern your access to and use of Edisyn's AI-powered meeting assistant application, website, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

Important: These Terms contain a limitation of liability provision and require binding arbitration on an individual basis to resolve disputes.

You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Services under applicable laws
• All information you provide is accurate, current, and complete

We reserve the right to refuse service to anyone for any reason at any time.

3.1 Account Creation

To access certain features, you must create an account by providing:

• A valid email address
• A secure password (or authenticate via OAuth providers like Google or GitHub)
• Accurate profile information

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password
• Not share your account credentials with others
• Notify us immediately of any unauthorized use of your account
• Log out from your account at the end of each session on shared devices

We are not liable for any loss or damage arising from unauthorized access to your account.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Abuse or Misuse: Use the Services to harass, abuse, threaten, or intimidate others
• Impersonation: Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Illegal Activity: Use the Services for any illegal, fraudulent, or unauthorized purpose
• Data Mining: Use automated systems (bots, scrapers) to access the Services without permission
• Security Violations: Attempt to gain unauthorized access to our systems, networks, or user accounts
• Interference: Interfere with or disrupt the Services or servers/networks connected to the Services
• Harmful Content: Upload, transmit, or distribute viruses, malware, or other malicious code
• Spam: Send unsolicited communications, advertisements, or spam
• Intellectual Property Infringement: Violate any copyright, trademark, or other proprietary rights
• Reverse Engineering: Reverse engineer, decompile, or disassemble the Services

Violation of this Acceptable Use Policy may result in immediate termination of your account.

6.1 Paid Subscriptions

Edisyn offers paid subscription plans with varying features and usage limits. By subscribing, you agree to:

• Pay all fees associated with your chosen subscription plan
• Provide accurate and complete billing information
• Authorize us to charge your payment method automatically on a recurring basis

6.2 Payment Processing

Payments are processed securely through Stripe. We do not store your full credit card information. Your payment information is governed by Stripe's terms and privacy policy.

6.3 Billing Cycle

• Subscriptions are billed in advance on a recurring basis (monthly or annual)
• Charges occur on the same day each billing cycle
• Failed payments may result in suspension or termination of your account

6.4 Price Changes

We reserve the right to modify subscription prices at any time. We will provide at least 30 days' notice of price increases. Continued use of the Services after a price change constitutes acceptance of the new pricing.

6.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• Automatic renewal will be disabled
• Your account will revert to the free plan (if available) or be deactivated

6.6 No Refunds Policy

All subscription fees are non-refundable. This includes fees for:

• Partial billing periods
• Unused credits or features
• Accounts that are suspended or terminated for violation of these Terms
• Service interruptions, bugs, or technical issues

We do not provide refunds or credits for months or years not used if you decide to cancel before the end of your subscription term.

7.1 Our Intellectual Property

The Services, including all software, features, content, designs, logos, and trademarks, are owned by Edisyn and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or business use in accordance with these Terms.

7.2 Your Content

You retain ownership of all content you create using the Services (transcripts, meeting notes, AI responses, etc.). By using the Services, you grant us:

• A license to store, process, and transmit your content as necessary to provide the Services
• The right to use aggregated, anonymized data for improving our Services

We do not claim ownership of your content and will not use it for purposes other than providing the Services without your permission.

You agree to indemnify, defend, and hold harmless Edisyn, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Content you submit, post, or transmit through the Services

10.1 Termination by You

You may terminate your account at any time by:

• Navigating to Settings → Account in the application
• Clicking "Request Data Deletion"
• Confirming the deletion request

10.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms or our Acceptable Use Policy
• We are required to do so by law
• Your account remains inactive for an extended period
• We suspect fraudulent, abusive, or illegal activity
• We decide to discontinue the Services (with 30 days' notice if feasible)

10.3 Effect of Termination

Upon termination:

• Your right to access and use the Services will cease immediately
• All data associated with your account will be deleted within 30 days
• No refunds will be provided for unused subscription periods
• Sections of these Terms that should survive termination (including liability limitations) will remain in effect

11.1 Informal Resolution

Before filing a claim, you agree to contact us at support@edisyn.ai to attempt to resolve the dispute informally.

11.2 Binding Arbitration

If we cannot resolve a dispute informally, you agree that any dispute arising out of or related to these Terms or the Services will be resolved through binding arbitration on an individual basis, rather than in court.

Class Action Waiver: You agree to bring claims against us only in your individual capacity and not as part of any class or representative action.

These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to your registered email address
• Displaying a prominent notice in the application

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Edisyn regarding the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
